General Terms & Conditions

Welcome to LogCentric LLC (“LogCentric” or “Company” or “we,” or “us” or “our”). These General Terms and Conditions (“Terms” or “General Terms”) between LogCentric and you (“Client” or “Customer” or “you” or “your”) govern your access to our website and the professional services we provide, including SIEM engineering, cybersecurity consulting, and information technology services. (collectively, the "Offerings"). For the avoidance of doubt, "Offerings" includes any preliminary technical discovery, environment reviews, or consultations performed under a Non-Disclosure Agreement (NDA). By entering into any kind of contract or accessing or making use of any of LogCentric’s offerings you agree to these General Terms. Should you be entering into these General Terms on behalf of the Customer, you affirm that you possess the requisite authority to legally bind the Customer. Non-agreement to these General Terms, or a lack of authorization to accept them on behalf of the Customer, prohibits the download, installation, access, or utilization of any Offering. The “Effective Date” of these General Terms is: (i) the date of contract signing; or (ii) the date of accepting invoices or estimates; or (ii) the date you access or use the Offering in any way, whichever is earlier. 

ACCEPTANCE OF TERMS

By accessing our website or engaging our services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entities to these conditions.

SCOPE OF SERVICES

LogCentric LLC provides professional Information Technology (IT) and Information Security (IS) consulting and engineering services. The specific scope, deliverables, and fees for any project will be defined in a separate Statement of Work (SOW) or Invoice. In the event of a conflict between these Terms and a signed SOW, the SOW shall prevail for that specific engagement.

FEES AND PAYMENT

Fees are as specified in the applicable SOW or Invoice. Unless otherwise stated, all invoices are due within fifteen (15) days of receipt. Overdue payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. LogCentric reserves the right to suspend all services and access to deliverables if any invoice remains unpaid for more than thirty (30) days.

CLIENT RESPONSIBILITIES

To provide effective SIEM and security services, the Client must:

  1. ACCESS. Provide LogCentric LLC with necessary administrative access to Splunk environments, cloud consoles, and on-premise servers, or any systems relevant to the agreed upon SOWs. Delayed access may result in project timeline adjustments and additional fees.

  2. DATA ACCURACY. Ensure that the data sources provided for ingestion and analysis are accurate and complete, outside of work specifically scoped for data configuration.

  3. ENVIRONMENT STABILITY. Notify LogCentric LLC of any major infrastructure changes that may impact SIEM performance or data ingestion.

INTELLECTUAL PROPERTY

  • CLIENT PROPERTY. Client retains all rights to its data, logs, and pre-existing configurations.

  • LOGCENTRIC PROPERTY. LogCentric LLC retains all rights to its proprietary "tools of the trade," including pre-existing SPL (Splunk Processing Language) libraries, custom scripts, dashboards, and methodologies used to perform the services.

  • DELIVERABLES. Upon full and final payment, Client is granted a non-exclusive, perpetual license to use the specific deliverables created for them for internal business purposes.

CONFIDENTIALITY

Both parties agree to protect the other’s "Confidential Information" with a reasonable degree of care. This obligation survives the termination of the business relationship.

LIMITATION OF LIABILITY

  • NO GUARANTEE. LogCentric LLC applies industry-standard practices, but does not guarantee that systems will be 100% secure or that services will prevent all cyber-attacks, data breaches, or system downtime.

  • CAP ON LIABILITY. To the maximum extent permitted by law, LogCentric LLC’s total liability for any claim shall not exceed the total amount paid by the Client to the Company in the three (3) months preceding the claim.

  • NO INDIRECT DAMAGES. We are not liable for lost profits, lost data, or any consequential or punitive damages.

INDEMNIFICATION

Client shall indemnify and hold LogCentric LLC harmless from any third-party claims, damages, or legal fees arising out of the Client’s data, the Client’s breach of security protocols, or the Client’s unauthorized use of the deliverables.

NON-SOLICITATION

During the term of any SOW and for twelve (12) months thereafter, Client shall not, directly or indirectly, solicit for hire or engage as an independent contractor any employee or representative of LogCentric LLC without prior written consent and payment of a placement fee equal to 30% of the individual’s first-year total compensation.

INDEPENDENT CONTRACTOR STATUS

LogCentric LLC is an independent contractor. No employment, partnership, or joint venture is created by these Terms. We retain sole control over the methods used to perform the services.

TERMINATION

Either party may terminate the relationship for convenience with 30 days' written notice. Client shall remain liable for all work performed and expenses incurred up to the date of termination.

DATA SHARING & THIRD PARTIES

We do not sell, rent, or trade your personal information to third parties. We only share information with trusted third-party service providers who assist us in operating our business, such as:

  1. Financial Systems (for invoicing and estimates).

  2. Communication Tools (used for the purposes of communicating with potential clients).

  3. Legal Compliance (If required by law or a valid court order in Kent County, DE).

DATA SECURITY

As a SIEM and Information Security specialist, LogCentric LLC maintains administrative, technical, and physical safeguards designed to protect the information we collect. However, no internet transmission is 100% secure. Our specific data handling protocols for clients are further detailed in our Master Service Agreement (MSA) and Operating Agreement.
